These Website Terms of Use (“Terms”) govern your access to and use of the website located at www.ngenue.com and any other online pages that link to these Terms (collectively, the “Site”).

The Site is operated by nGenue Software, LLC, a Texas limited liability company, together with its affiliates (“nGenue”, “we”, “us”, or “our”).

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Site.

If you are using the Site on behalf of a company or other legal entity, you represent and warrant that you are authorized to bind that entity to these Terms, and “you” will refer to that entity.

1. Scope and Relationship to Other Agreements

These Terms apply only to your use of the public-facing Site, including any content, resources, and forms made available through the Site.

If you or your organization enter into a separate written agreement with nGenue for access to or use of nGenue software, products, or services (for example, a subscription, license, services, or master agreement) (a “Customer Agreement”), the Customer Agreement will govern such products and services. In the event of any inconsistency between these Terms and a Customer Agreement, the Customer Agreement will control with respect to the products and services covered by it.

Nothing on this Site is intended to modify or amend any existing written agreement you may have with nGenue.

2. Eligibility

The Site is intended for use by business users and professionals in the natural gas and energy industries. By using the Site, you represent that:

  • you are at least the age of majority in your jurisdiction; and
  • you are not prohibited from accessing the Site under any applicable laws.

We do not knowingly target or market the Site to individual consumers for personal or household purposes.

3. Changes to the Site and to These Terms

We may update the Site from time to time, including by adding, modifying, or removing content or features.

We may also update these Terms from time to time. When we do, we will revise the “Effective Date” above and may provide additional notice as required by law. Your continued use of the Site after the updated Terms are posted constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Site.

4. Use of the Site

You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

  • access or use the Site in any way that violates any applicable law or regulation;
  • use the Site to send unsolicited or unauthorized advertising, promotional materials, spam, or similar communications;
  • attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Site, any servers on which the Site is hosted, or any related systems or networks;
  • use any robot, spider, scraper, crawler, or other automated means to access the Site for any purpose without our prior written consent;
  • reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any software used to provide the Site, except to the extent permitted by applicable law;
  • remove, obscure, or alter any proprietary notices (including copyright and trademark notices) that appear on the Site; or
  • use the Site in any manner that could disable, overburden, damage, or impair the Site or interfere with any other party’s use of the Site.

We reserve the right, without notice, to restrict or terminate your access to the Site (or any portion of it) if we believe you have violated these Terms or are otherwise using the Site in a harmful or unlawful manner.

5. Intellectual Property

The Site and all content on the Site, including text, graphics, logos, icons, images, audio or video clips, software, and compilations (collectively, “Content”), are owned by or licensed to nGenue and are protected by copyright, trademark, and other intellectual property laws.

Subject to your compliance with these Terms, nGenue grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Site and view the Content solely for your internal business purposes in evaluating or learning about nGenue’s products and services.

You may not:

  • copy, reproduce, modify, distribute, transmit, display, perform, publish, or create derivative works based on the Site or Content, except as expressly permitted by these Terms or with our prior written consent;
  • use any trademarks, service marks, or logos displayed on the Site without our prior written permission or that of the applicable owner.

All rights not expressly granted to you in these Terms are reserved by nGenue and its licensors.

6. Submissions and Feedback

If you submit information through the Site, including via forms, uploads, emails, or otherwise (“Submissions”), you:

  • represent and warrant that you have the right to provide the Submissions; and
  • grant nGenue a non-exclusive, worldwide, royalty-free license to use, reproduce, process, and display the Submissions for the purposes of operating the Site, responding to your requests, and otherwise conducting our business.

If you provide ideas, suggestions, or feedback regarding the Site or nGenue products or services (“Feedback”), you agree that nGenue may use such Feedback without restriction and without any obligation to you, including to improve or develop products, services, or features.

Submissions that include personal information are also subject to our Privacy Policy, as referenced below.

7. No Professional Advice; Informational Content Only

The Content on the Site, including blogs, articles, white papers, FAQs, and case studies, is provided for general informational purposes only.

Although nGenue’s products and services support natural gas operations, billing, ETRM, compliance, and related workflows, the Site does not provide:

  • legal, tax, accounting, financial, technical, or other professional advice; or
  • any guarantee that particular configurations or uses of our software will achieve specific regulatory or commercial outcomes.

You are solely responsible for obtaining your own professional advice before relying on any information or Content on the Site.

8. Third-Party Content and Links

The Site may contain links to third-party websites or resources, or may reference third-party products, services, or events. These links and references are provided for convenience only.

nGenue does not control and is not responsible for the content, products, or services of any third parties, and the inclusion of any link or reference does not imply endorsement by nGenue.

Your use of any third-party websites or resources is at your own risk and may be subject to separate terms and conditions and privacy policies.

9. Privacy and Cookies

Our Privacy Policy (including its explanation of our use of cookies and similar tracking technologies) describes how we collect, use, and disclose personal information in connection with the Site.

By using the Site, you acknowledge that nGenue will handle your personal information in accordance with the then-current Privacy Policy.

10. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

THE SITE AND ALL CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

NGENUE SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

NGENUE DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

NGENUE DOES NOT MAKE ANY REPRESENTATIONS OR WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT OR DATA PROVIDED THROUGH THE SITE.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you to the extent prohibited by law.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

IN NO EVENT WILL NGENUE OR ITS AFFILIATES, OR THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

The limitations in this Section apply regardless of the form of action, whether based in contract, tort (including negligence), strict liability, or any other legal theory.

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you to the extent prohibited by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless nGenue and its affiliates, and their respective directors, officers, employees, and agents, from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

  • your use of the Site;
  • your violation of these Terms; or
  • your violation of any rights of a third party in connection with your use of the Site.

We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims.

13. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or relating to these Terms or the Site will be governed by and construed in accordance with the laws of Texas, United States of America, without giving effect to its conflict of law principles.

You and nGenue agree to submit to the exclusive jurisdiction of the courts located in Harris County, Texas, and you waive any objection to venue in such courts.

Nothing in this Section will limit nGenue’s right to seek injunctive or other equitable relief in any jurisdiction where such relief is needed to prevent actual or threatened infringement, misappropriation, or violation of nGenue’s rights.

14. Termination

We may suspend or terminate your access to the Site (in whole or in part) at any time and for any reason, without notice, including if we believe that you have violated these Terms.

Upon termination, Sections that by their nature should survive (including Intellectual Property, Submissions and Feedback, Disclaimers, Limitation of Liability, Indemnification, Governing Law and Dispute Resolution, and Miscellaneous) will continue in full force and effect.

15. Miscellaneous

Entire Agreement. These Terms constitute the entire agreement between you and nGenue with respect to your use of the Site and supersede all prior or contemporaneous understandings regarding such subject matter.

Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

No Waiver. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

Assignment. You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may freely assign these Terms without restriction.
